Momentum is a leading adviser on Management Buy Outs (MBOs).

MBOs are technically complicated and time-consuming transactions. We help guide the management team through the entire process. This includes holding workshops and discussions as to what a MBO is, how it works and what it means for the team. It also includes assisting in the production of a business plan, which clearly articulates the investment opportunity, an integrated financial model, which the funders will use to assess the deal along with a presentation for them. We have strong relationships with the leading private equity houses and providers of debt finance who will typically provide the majority of the MBO funding.

We can also lead all of the negotiations on behalf of the management team, both with the vendors and the institutional funders, and will project manage the transaction from initial inception through to due diligence and completion.

We will manage all aspects of the sale process from preparation of the Information Memorandum, dataroom and management presentation through to project management of the legal and due diligence process.

We can also help shareholders who are considering a sale of their business to its management team. These transactions are often referred to as Vendor Initiated Management Buy Outs (VIMBOs) and are increasingly common.

We also have experience in helping our clients exploit opportunities where rapid timescales are in place, including purchases from administration.

We can source and evaluate acquisition opportunities, make contact with the target company and lead the subsequent negotiations. If the acquisition requires additional funding we can also advise on this process.
