We are specialists at advising management teams in a range of scenarios. These include buyout advice (“MBO”) and also independent advice for management teams involved in transactions with private equity.

MBOs are technically complicated and time-consuming transactions. We help guide the management team through the entire process. This includes holding workshops and discussions as to what a MBO is, how it works and what it means for the team. It also includes assisting in the production of a business plan, which clearly articulates the investment opportunity, and an integrated financial model, which the funders will use to assess the deal. We have strong relationships with the leading private equity houses and providers of debt finance who will typically provide the majority of the MBO funding.

We can also lead all of the negotiations on behalf of the management team, both with the vendors and the institutional funders, and will project manage the transaction from initial inception through to due diligence and completion.

Our long term approach and experience means we are uniquely positioned to deliver the best outcome for the management team – not just at the time of the initial deal but over the life of the MBO to eventual sale.
